Terms of Sservice

These Terms of Service (“Terms”) govern your access to and use of ListCore™, a service operated by Easy VA Outsourcing LLC, a Virginia limited liability company (“ListCore,” “Easy VA,” “we,” “us,” or “our”).

By purchasing, subscribing to, accessing, or using ListCore services, you agree to these Terms. If you do not agree to these Terms, you should not purchase or use the services.

1. ListCore Services

ListCore provides B2B and B2C prospect data based on selected services, geographic markets, and available online intent signals and other data supplied through third-party data sources.

Depending on availability, prospect data may include information such as:

• Names
• Telephone numbers
• Email addresses
• Business information
• Geographic information
• Other available prospect information

The exact information available may vary from one prospect record to another.

2. Prospect Data and Intent Signals

ListCore works with third-party data sources that use online intent signals and other available information to identify prospects based on the services and geographic markets selected by the customer.

Online intent signals may indicate potential interest in a particular product, service, topic, or category. They do not guarantee that a prospect will purchase a product or service, respond to outreach, qualify as a customer, or enter into a transaction.

ListCore does not represent that it directly monitors an individual's private browsing activity, private Google search history, or personal devices.

3. Data Accuracy and Availability

Prospect information is obtained through third-party data sources, and the availability, accuracy, completeness, and freshness of individual data fields may vary.

ListCore does not guarantee that every name, telephone number, email address, business detail, or other data field will be complete, current, deliverable, or accurate.

We may take reasonable steps in connection with the preparation and delivery of prospect data, but no database or data source can be guaranteed to be completely accurate at all times.

4. Data Delivery

Customers receive updated prospect data weekly based on the services, markets, and geographic criteria selected for their subscription.

Data may be delivered through an organized spreadsheet or, when agreed upon and technically feasible, manually added to the customer's CRM.

CRM delivery may depend on the customer's CRM platform, configuration, permissions, and access provided to ListCore.

ListCore does not represent that CRM delivery is an automatic software integration unless expressly agreed otherwise.

5. Customer Responsibilities

Customers are responsible for how they use prospect data provided through ListCore.

By using the service, you agree to comply with all laws and regulations applicable to your business and outreach activities, including applicable privacy, advertising, email marketing, telemarketing, telephone, text-message, and consumer-protection laws.

Customers are responsible for determining whether their intended use of the data is lawful and for obtaining any consent that may be required for their communications.

ListCore does not provide legal advice regarding a customer's particular marketing or outreach activities.

6. No Guarantee of Results

ListCore provides prospect data and related delivery services. We do not guarantee sales, appointments, responses, conversions, revenue, closed transactions, return on investment, or any other particular business outcome.

Past results, examples, projections, or estimates, if provided, should not be interpreted as a guarantee of future performance.

Results depend on numerous factors outside ListCore's control, including the customer's offer, pricing, sales process, outreach methods, market conditions, timing, and follow-up.

7. Subscriptions and Billing

ListCore currently offers weekly and monthly subscription options.

Customers are billed automatically according to the billing frequency of the plan selected at checkout.

Subscription pricing and the features associated with each plan are presented at the time of purchase and may be updated from time to time.

Any pricing changes will apply in accordance with the terms communicated to the customer and applicable law.

8. Cancellation

There are no long-term contracts unless otherwise expressly agreed in writing.

You may request cancellation of your subscription by emailing:

Cancellation requests should be submitted at least 24 hours before your next billing date to help ensure the request can be processed before the next scheduled charge.

Cancellation prevents future renewals after the cancellation becomes effective.

Unless otherwise required by law or expressly agreed in writing, payments already processed are non-refundable.

9. Payments

Payments may be processed through third-party payment processors.

By purchasing a ListCore subscription, you authorize the applicable payment processor to charge the payment method you provide according to the billing frequency and price of your selected plan.

Your use of third-party payment services may also be subject to the payment provider's applicable terms and policies.

10. CRM Access

If you request that ListCore manually add prospect data to your CRM, you may need to provide appropriate access or permissions.

You are responsible for ensuring that you have authority to provide such access.

ListCore will use CRM access provided by you for purposes reasonably related to delivering the agreed services.

You should promptly remove or change access credentials when access is no longer required.

11. Account and Information Security

Customers are responsible for maintaining the security of any account credentials, CRM access, or other information associated with their use of ListCore.

You agree to notify us promptly if you become aware of unauthorized access that may affect services provided by ListCore.

12. Acceptable Use

You may not use ListCore or prospect data provided through ListCore:

• For unlawful, fraudulent, deceptive, or abusive purposes
• To violate applicable privacy or consumer-protection laws
• To harass, threaten, or unlawfully discriminate against individuals
• To misrepresent your identity or business
• To interfere with or attempt to compromise ListCore's website, systems, or services
• In any manner that violates these Terms or applicable law

We reserve the right to suspend or terminate service where we reasonably believe the service is being used unlawfully or in material violation of these Terms.

13. Third-Party Services

ListCore may rely on third-party providers for services such as data sourcing, payment processing, website hosting, scheduling, communications, and CRM-related delivery.

We are not responsible for interruptions, errors, changes, or failures caused solely by third-party platforms or services outside our reasonable control.

Third-party services may also be governed by their own terms and privacy policies.

14. Intellectual Property

The ListCore™ name, website content, branding, graphics, service descriptions, and other materials created by or for ListCore or Easy VA Outsourcing LLC are protected by applicable intellectual-property laws.

Except as permitted by law or expressly authorized by us, you may not copy, reproduce, distribute, modify, sell, or commercially exploit our proprietary website content or branding.

15. Disclaimer of Warranties

To the fullest extent permitted by applicable law, ListCore services are provided on an “as available” basis.

We do not warrant that the services will be uninterrupted or error-free or that prospect information will always be complete, current, accurate, or suitable for every customer's intended purpose.

Nothing in these Terms excludes warranties or rights that cannot legally be excluded.

16. Limitation of Liability

To the fullest extent permitted by applicable law, Easy VA Outsourcing LLC and ListCore will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or related to your use of the services.

This includes, where permitted by law, lost profits, lost revenue, lost business opportunities, loss of data, or losses resulting from a prospect's failure to respond, purchase, convert, or enter into a transaction.

Nothing in these Terms limits liability that cannot legally be limited or excluded.

17. Indemnification

To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Easy VA Outsourcing LLC and ListCore from claims, liabilities, damages, losses, and reasonable expenses arising from your unlawful use of the services, your violation of these Terms, or your violation of applicable laws or the rights of another person.

18. Suspension or Termination

We may suspend or terminate access to ListCore services if a customer materially violates these Terms, fails to make required payments, uses the service unlawfully, or engages in activity that may reasonably create legal, security, or operational risks for ListCore or Easy VA Outsourcing LLC.

19. Governing Law

These Terms are governed by the laws of the Commonwealth of Virginia, without regard to conflict-of-law principles, except where applicable law requires otherwise.

20. Changes to These Terms

We may update these Terms from time to time to reflect changes in our services, business practices, or legal requirements.

When these Terms are updated, the effective date displayed at the top will be revised.

Your continued use of ListCore following an applicable update constitutes acceptance of the revised Terms to the extent permitted by law.
